Terms of Service

Please read these terms carefully before using DiscoverLex.

1. Acceptance of Terms

By accessing or using the DiscoverLex platform at discoverlex.com (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

DiscoverLex provides an AI-powered legal document analysis platform built on the Onyx framework. The Service includes, but is not limited to:

  • AI-driven document ingestion, indexing, and semantic search across legal document sets
  • Natural language querying with full citation trails and source verification
  • Automated relationship mapping between entities, clauses, and contractual obligations
  • Contradiction detection and inconsistency analysis across document corpora
  • Timeline reconstruction and chronological event extraction
  • Workspace-based collaboration tools for legal teams

The Service is designed to assist legal professionals and does not constitute legal advice. DiscoverLex is not a law firm and does not provide legal representation.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information as necessary
  • Notify DiscoverLex immediately of any unauthorized use of your account or any other breach of security
  • Ensure that all users within your organization who access the Service comply with these Terms

DiscoverLex shall not be liable for any loss or damage arising from your failure to comply with these obligations.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Upload, transmit, or store any content that infringes upon the intellectual property rights of any third party
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or any underlying technology
  • Use the Service, its outputs, or any data derived from it to develop, train, or improve a competing product or service
  • Interfere with or disrupt the integrity or performance of the Service or its related systems
  • Attempt to gain unauthorized access to any portion of the Service or any related systems or networks
  • Use automated means (bots, scrapers, or similar tools) to access the Service beyond the functionality provided through the platform

DiscoverLex reserves the right to suspend or terminate access for any user who violates these acceptable use provisions.

5. Data Ownership

You retain full and complete ownership of all documents, data, and content that you upload to the Service. DiscoverLex claims no ownership rights over your data.

All analyses, summaries, reports, and other outputs generated by the Service from your uploaded documents are your property. DiscoverLex does not retain, sell, license, or share your documents or generated outputs with any third party.

You grant DiscoverLex a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you. This license terminates upon deletion of your data or termination of your account.

Upon termination of your account, you may request an export of all your data. DiscoverLex will permanently delete your data from its systems within thirty (30) days of account termination, unless retention is required by law.

6. Intellectual Property

The DiscoverLex platform, including its software, algorithms, user interface, documentation, and all related intellectual property, is and remains the exclusive property of DiscoverLex and its licensors. These Terms do not grant you any rights to DiscoverLex's intellectual property except the limited right to use the Service as described herein.

As stated in Section 5, you retain full ownership of all documents you upload and all outputs generated from your data. Nothing in these Terms transfers ownership of your data to DiscoverLex.

DiscoverLex may use aggregated, anonymized, and de-identified usage metrics (not your documents or outputs) to improve the Service. Such metrics will never include personally identifiable information or any content from your uploaded documents.

7. Payment Terms

The Service is offered on a month-to-month subscription basis. There are no long-term contracts or commitments required. You may cancel your subscription at any time, effective at the end of the current billing period.

Your subscription includes a base platform fee as described on our pricing page. AI inference usage (document processing, querying, and analysis) is billed at cost plus a ten percent (10%) margin. Detailed usage breakdowns are available in your account dashboard.

All fees are billed in advance for the base subscription and in arrears for AI inference usage. Payment is due within fifteen (15) days of invoice date. DiscoverLex reserves the right to suspend access to the Service for accounts with overdue balances exceeding thirty (30) days.

DiscoverLex reserves the right to modify pricing with thirty (30) days advance written notice. Price changes will take effect at the start of the next billing period following the notice period.

8. Service Availability and Uptime

DiscoverLex strives to maintain high availability of the Service but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control.

DiscoverLex will provide reasonable advance notice of scheduled maintenance windows when practicable. Emergency maintenance may be performed without advance notice when necessary to preserve the security or integrity of the Service.

DiscoverLex shall not be liable for any damages resulting from service interruptions, including but not limited to lost revenue, missed deadlines, or inability to access documents.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISCOVERLEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

DISCOVERLEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DISCOVERLEX DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE PROVIDES AI-GENERATED ANALYSES THAT MAY CONTAIN ERRORS OR INACCURACIES. YOU ACKNOWLEDGE THAT ALL OUTPUTS SHOULD BE INDEPENDENTLY VERIFIED BY QUALIFIED LEGAL PROFESSIONALS BEFORE RELIANCE IN ANY LEGAL PROCEEDING OR BUSINESS DECISION.

10. Indemnification

You agree to indemnify, defend, and hold harmless DiscoverLex and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any content or documents you upload to or process through the Service

11. Termination

Either party may terminate these Terms at any time for any reason by providing written notice to the other party. Upon termination:

  • Your right to access and use the Service will cease immediately
  • You may request an export of your data within thirty (30) days of termination
  • DiscoverLex will delete your data from its systems within thirty (30) days of termination, unless retention is required by law
  • Any outstanding fees incurred prior to termination remain due and payable

DiscoverLex may suspend or terminate your access immediately and without prior notice if you violate these Terms, if required by law, or if necessary to protect the security or integrity of the Service.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator.

The arbitration shall take place in the State of Louisiana, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Changes to Terms

DiscoverLex reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date at the top of this page.

For material changes that significantly affect your rights or obligations, we will provide at least thirty (30) days advance notice via email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
